BY-LAWS

1.  Day and Place of Meeting
The Annual Meeting of the Divisional Conclave shall be held on the fourth Saturday in March at Mark Masons’ Hall, 86 St James’s Street, London SW1A 1PL at such time as the Intendant-General shall specify or on such other day, place and time as the Intendant-General shall direct. At this meeting the election of the Divisional Treasurer and the appointment of Divisional Officers and Auditors shall take place; and all necessary business transacted.

2.  Emergency Meeting
Emergency meetings of the Divisional Conclave may be called by the Intendant-General or in his absence, the Deputy Intendant-General, to be held at such place and time as either shall direct.

3.  Notice of Meeting
A copy of the notice convening each meeting of Divisional Conclave shall be sent to every member of the Division at their last recorded address plus two copies of the notice to the Recorder of each Conclave within the Division, not less than twenty-eight days before the appointed day for the meeting. Except by leave of the Intendant-General, or his Deputy, no motion or other matter shall be considered at a meeting of Divisional Conclave unless written notice shall have been received by the Divisional Recorder not less than six weeks before the day appointed for the meeting.

4.  Membership
The members of Divisional Conclave shall comprise all the subscribing members of Conclaves within the Division.

5.  Fee of Honour
Every Knight (with the exception of the Sentinel) shall, on being first appointed to Divisional Office or to a Past Rank in the Division pay a Fee of Honour of not more than 40% of the Fee of Honour for a similar appointment in Grand Imperial Conclave. On promotion to a Higher Office or a Higher Past Rank, the Fee of Honour payable shall be the difference between ththat payable for the former office or rank and that due for the higher. Such fees shall be as authorised from time to time by Divisional Conclave.

6.  Annual Dues
Each Conclave in the Division shall pay to the General Fund of the Division, annual dues in respect of every member who was a subscribing member thereof at any time within the year covered by the relevant annual return.  The amount of such dues shall be as authorised but shall not exceed 40% of the rate of the annual dues payable to Grand Imperial Conclave.

7.  Accounts
All monies belonging to the Divisional Conclave shall be deposited in an authorised account in the name of the Division. All cheques drawn on the account shall be signed by the Treasurer and the Intendant-General.  The Accounts of the Division shall be made up to the last day of December in each year.  Such accounts shall be audited and presented at the meeting of the Divisional Conclave next following.

8.  Returns and Other Correspondence
All returns or forms for registration or other communications from Conclaves or members intended for submission to Grand Imperial Conclave or to the Intendant-General shall be forwarded to the Divisional Recorder for information and onward transmission.

9.  Conclave Summonses
The Recorder of each Conclave in the Division shall, not less than 14 days before every meeting of that Conclave, send a summons to all subscribing members and also to the Intendant General, the Deputy Intendant-General, and the Divisional Recorder.

10.  Alterations to By-Laws
No alteration or addition to, any part of these By-laws shall be considered unless affirmed by a majority of those present and entitled to vote at a meeting of Divisional Conclave, and shall not be effective until approved by the Intendant-General and the Grand Sovereign.

11.  Statutes
All matters not specifically provided for herein shall be decided in accordance with the General Statutes of the Order.

12.  Presentation of By-Laws
A copy of these By-laws shall be presented to each Sovereign on his Enthronement and to every Conclave Recorder on his appointment.
